1. Pricing, Fees, and Payment
1.1 Payment Options: Our platform offers month-to-month, bi-annual, and annual payment options.
1.2 Invoice and Payment: Upon agreement execution, an invoice detailing the monthly subscription and cost to the Client will be provided. The subscription balance will be automatically deducted on a monthly basis, on the anniversary of the SIGN-UP DATE, and a receipt will be emailed to the designated contact.
1.3 Late Payment Fee: A 5% fee may be accessed on any late or failed payments not settled within Seven (7) days of the due date. We reserve the right to restrict access to the subscribed services where necessary.
1.4 Outstanding Balance: If unable to recover the overdue balance within 30 days, the total balance inclusive of subsequent late fees will become due within Fourteen days.
2. Cost
2.1 Package Cost: The monthly cost will be selected by the Client during the registration process. A full list of pricing and services is available upon request.
3. Term of the Agreement
3.1 Initial Term: The initial term of six (6) or twelve (12) months shall automatically commence upon the SIGN-UP DATE and shall continue to automatically renew for successive periods of six (6) or twelve (12) months, unless sixty (90) days notice is provided, anytime after the initial term.
3.2 Termination: Either Party may terminate this Agreement:
If either Party is in material breach of this Agreement and such breach is incapable of remedy.
If either Party fails to remedy its material breach within 14 days of notice.
If an order is made for the winding up of either Party, or either Party is unable to pay its debts.
4. Indemnity
The CLIENT agrees to indemnify and hold harmless from and against any and all losses, expenses, damages, claims, fines, penalties, costs, and liabilities resulting from the Client's use of the Services or any alleged violation of these Terms of Service.
5. Trademarks
All trademarks, trade dress, and other intellectual property may not be used without express written consent.
6. Confidential Information
6.1 Definition: "Confidential Information" includes any information related to either Party's directors, officers, employees, budgets, prices, accounts, and any other commercially sensitive information.
6.2 Confidentiality Obligation: Each Party agrees to treat Confidential Information as private and confidential and not to reproduce or use it except as necessary to perform the Service.
7. Entire Agreement
This Agreement constitutes the entire agreement between the parties pertaining to the service and supersedes any prior agreements or understandings.
8. Criminal Offense or Fraudulent Use
The Service may not be used fraudulently or in connection with a criminal offense. We reserve the right to suspend or disconnect the service in case of fraudulent or illegal use.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, and any dispute shall be submitted to a court of competent jurisdiction in the United Kingdom.
